Terms of Service

1. Acceptance of Terms

By accessing or using Silicon Crest Educational Technology's school management platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of a school or organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Silicon Crest provides a cloud-based school management platform that includes:

• Student information and enrollment management
• Gradebook and academic tracking
• Attendance management
• Fee collection and financial management
• Parent and teacher communication tools
• AI-powered tutoring assistant (Honey Island)
• Reporting and analytics

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice to subscribers.

3. Account Registration

To use the Services, you must:

• Register for an account with accurate and complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized account access
• Be at least 18 years old or have the legal authority to enter into this agreement

You are responsible for all activities that occur under your account.

4. Subscription and Payment

Pricing: Subscription fees are based on the plan selected and the number of students enrolled. Current pricing is available at siced.ng/pricing.

Payment Terms: Subscriptions are billed per academic term unless otherwise agreed. Payment is due at the beginning of each term. We accept bank transfers, card payments, and mobile money.

Late Payment: If payment is not received within 14 days of the due date, we may suspend access to the Services. Outstanding balances may incur late fees of 5% per month.

Refunds: We offer a 14-day money-back guarantee for new subscribers. After this period, refunds are provided only in exceptional circumstances at our discretion.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Upload malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to our systems
• Share account credentials with unauthorized users
• Use the Services to harass, abuse, or harm others
• Reproduce, distribute, or sell the Services without permission
• Use automated scripts to access the Services without our consent

Violation of these terms may result in immediate suspension or termination of your account.

6. Data Ownership and Privacy

Your Data: You retain ownership of all data you enter into the platform. We do not claim ownership of your school's data, student records, or any content you create.

Data Processing: We process your data solely to provide the Services as described in our Privacy Policy. We do not sell or share your data with third parties for marketing purposes.

Data Export: You may export your data at any time in standard formats. Upon termination, we will provide a complete data export upon request.

7. Intellectual Property

The Services, including all software, designs, logos, and content, are owned by Silicon Crest Educational Technology and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for your school's internal purposes.

You may not copy, modify, distribute, or create derivative works based on our Services without express written permission.

8. Service Availability

We strive to maintain 99.9% uptime for our Services. However, the Services may be temporarily unavailable due to scheduled maintenance, emergency repairs, or circumstances beyond our control.

We will provide advance notice of scheduled maintenance when possible. Our offline functionality ensures that critical operations can continue during internet outages.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SILICON CREST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Termination

By You: You may terminate your subscription at any time by providing written notice. Access will continue until the end of the current billing period.

By Us: We may terminate or suspend your account immediately for violation of these Terms, non-payment, or other conduct that we determine is harmful to other users or our business.

Effect of Termination: Upon termination, your access to the Services will cease. We will retain your data for 90 days to allow for export, after which it will be securely deleted.

11. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of the Services shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Services at least 30 days before they take effect. Continued use of the Services after changes take effect constitutes acceptance of the modified Terms.
